TORONTO, ONTARIO–(May 24, 2013) – Symbility Solutions Inc. (the “Corporation”), (TSX VENTURE:SY)(OTCQX:ATBEF), a global software company dedicated to developing applications for the insurance industry, announced the voting results of the special meeting of shareholders of the Corporation (“Shareholders”) that was held on May 15, 2013 (the “Meeting”). The Corporation hereby advises of the following voting results obtained at the Meeting:
- The Shareholders approved the election of the following individuals, being nominees proposed by the management of the Corporation, as directors of the Corporation: R. Larry Binnion, Richard M. Hurwitz, Christopher Jutkiewicz, Robert Landry, G. Scott Paterson, Nehal Raj, Tony Reisz, James R. Swayze, Robert W. Tretiak. By a show of hands, this resolution was carried.
- The Shareholders approved the re-appointment of Ernst & Young LLP, Chartered Accountants, as auditors of the Corporation for the ensuing year and authorized the directors to fix their remuneration. By a show of hands, this resolution was carried.
- The Shareholders approved a resolution to confirm By-Law No. 1 of the Corporation, being a by-law relating generally to the transaction of business and affairs of the Corporation. The vote in respect to this matter, carried by ballot, with 84 percent of the votes cast being in favour to confirm By-Law No.1.
- The Shareholders approved a resolution ratifying the Corporation’s amended and restated stock option plan. By a show of hands, this resolution was carried.
